TERMS AND CONDITIONS

These terms and conditions of attendance (“Terms”) shall govern an attendee’s (“Attendee” or “you”) registration to attend the ADI Forum or FlexPO+ or any other conference or event (“Event”) hosted by ADI Analytics LLC (“ADI”) located at 440 Cobia Dr, Ste 1704, Katy, TX 77494.

GOVERNING LAW:  Any claim relating to ADI’s web sites shall be governed by the laws of the State of Texas without regard to its conflict of law provisions.

PAYMENT TERMS:  Payment is due in full by credit card upon completion of this registration form. By completing this registration form you agree to ADI charging your credit card for the amount stated above and you agree to pay ADI the price in order to secure your conference ticket. Your registration will not be confirmed until payment has been made by credit card and cleared funds are received in full. Admission to the conference will be refused if payment has not been received.

CANCELLATION, REFUND, AND SUBSTITUTION POLICY:  We do not offer refunds once payment has been made. The Attendee may cancel any one or more of the Event registrations it has made by notifying ADI in writing at info@adi-analytics.com at least thirty (30) calendar days before the first day of the Event, in which case attendees will receive a full credit to a future conference. Cancellations received 30 days or less prior to the conference will neither receive a refund nor a credit to a future conference. However, a substitution from the same organization can be made at any time in writing at no extra charge. If ADI cancels a conference, payments received at the cancellation date will be credited towards attendance at a future conference or in the event of postponement by ADI, towards the rescheduled date. Credit notes remain valid for twelve months.  ADI is entitled to cancel the Event by email notice to the Attendee (a) for any reason up to seven (7) calendar days before the first day of the Event or (b) for reasons of Force Majeure (as defined in these Terms and Conditions) at any time. ADI’s liability for such cancellation is limited to a refund of the Fees already paid by Attendee at that time.

FORCE MAJEURE:  Force Majeure means any circumstance not within ADI’s reasonable control including, without limitation, acts of God, flood, drought, earthquake, severe or adverse weather conditions, or other natural disaster, epidemic or pandemic, terrorist attack, civil war, civil commotion or riots, war, threat or preparation of war, armed conflict, imposition of sanctions, embargo, breaking off of diplomatic relations, nuclear, chemical or biological contamination, any law or action taken by a government or public authority, fire, explosion, collapse of buildings or accident, labor or trade dispute, strikes, industrial action or lockouts and interruption or failure of utility services.

CHANGES TO CONFERENCE AND AGENDA AND ERRORS:  Occasionally it is necessary for reasons beyond our control to alter the content and timing of the program, venue or the identity of the speakers without any liability to the delegates. ADI reserves the right to postpone or cancel an event, to change the location, or alter the advertised speakers for an event. Changes to the agenda will be updated on our website as soon as possible.

The materials appearing on ADI’s web sites could include technical, typographical, or photographic errors.  ADI does not warrant that any of the materials on its web site are accurate, complete, or current.  ADI may make changes to the materials contained on its web sites at any time without notice. ADI does not, however, make any commitment to update the materials.  ADI is not responsible for the contents of any web sites links which may be included on ADI’s web sites. The inclusion of any link does not imply endorsement by ADI of the site. Use of any such linked web site is at the user’s own risk.

RIGHT OF REFUSAL:  ADI reserves the right to refuse an Attendee’s admission to the Event at its sole discretion. If ADI refuses admission to an Attendee who has registered and paid for an Event, ADI will refund the Attendee’s registration fee.

PRESS:  ADI reserves the right to admit or deny admission to its events for representatives of the press and media.

VIDEO AND PHOTOGRAPHY:  ADI, its representatives, and event sponsors (and their representatives) may photograph and make films/videos and other recordings at ADI Events and it may use, incorporate and/or publish the photography, film or other recording in its advertising and marketing campaigns and in any corporate communications. If an Attendee does not wish his or her image to be used in this way he or she must notify ADI in writing at info@adi-analytics.com before the beginning of the Event.

LIABILITY:  The Attendee shall indemnify and hold harmless ADI, ADI’s affiliates and ADI’s employees, directors, officers, representatives and agents from any and all claims, damages, liabilities and expenses (including, without limitation, reasonable legal expenses and court costs) arising out of or in relation to (i) any bodily injuries or harm or property damage caused by Attendee or any of its personnel in connection with the Event, (ii) the breach of this agreement by the Attendee or (iii) the negligence or willful misconduct of the Attendee.

In no event shall ADI or its affiliates be liable for any indirect, special, incidental, punitive or consequential damages including, but not limited to loss of profits, trading losses, or lost time or goodwill, even if they have been advised of the possibility of such.

INTELLECTUAL PROPERTY RIGHTS:  Each Attendee acknowledges and agrees that no copying, recording or re-distribution of the Materials, or any part thereof, is permitted unless authorized by ADI in writing.

ANTI-TRUST COMPLIANCE:  ADI is committed to full compliance with all applicable antitrust laws. ADI expects Attendees at each Event to be aware of, understand, and comply with all antitrust laws and not to use any Event to co-ordinate their commercial activities. Any activity that could create an appearance of a restriction upon or a distortion of competition must be avoided. ADI reserves the right to ask anyone it believes does not comply with antitrust laws to cease and desist and/or to leave any Event without compensation or refund of fees.

SEVERABILITY AND INCONSISTENCY:  If any provision of this agreement is or becomes invalid, illegal or unenforceable, the remaining provisions of this agreement shall not be affected or impaired and the invalid, illegal or unenforceable provision shall be deemed to be modified to the minimum extent necessary to make it valid, legal and enforceable.

ENTIRE AGREEMENT:  This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings and representations between the parties.
